Origins
Our company was organized in 1992 as Parcelway Systems Holding Corp. In May 1995, we acquired Dynamex Express, the ground courier operations of Air Canada, led by Richard K. McClelland, Dynamex CEO. In July 1995, we changed the corporate name to Dynamex Inc.
Initial Phase of Acquisitions
At the time Dynamex Express was acquired, it had developed a nationwide network of 20 key locations across Canada and was offering local, regional and national services. In December 1995, our company acquired the on-demand ground courier operations of Mayne Nickless, Inc and Mayne Nickless Canada, Inc, which had operations in eight U.S. Cities and two Canadian cities.
Strategic Growth Plan
Originally announced in our 1996 annual report to shareholders, Dynamex formalized a comprehensive, flexible and highly effective growth plan:
- Concentrate on our basic services (1) Same-day on-demand and scheduled transportation and distribution solutions, and (2) dedicated fleet management services.
- Pursue regional and national accounts.
- Enter into strategic alliances with other transportation companies in order to offer a complete range of services.
- Pursue a program of strategic and economically accretive acquisitions in order to build nationwide networks in the U.S. and Canada.
1996 Acquisitions and IPO
Beginning in August 1996, Dynamex acquired same-day delivery providers in New York City; Columbus, Ohio; Chicago; Halifax, Nova Scotia and Winnipeg, Manitoba. These purchases were funded with a portion of the proceeds from the initial public offering (IPO) of the company's common stock in 1996 and by issuing additional shares of common stock. Dynamex now trades on the NASDAQ exchange under the symbol DDMX.
1997 Acquisitions
From the time of our IPO to the close of our fiscal year, September 30, 1997, we purchased additional same-day delivery services in NYC, San Diego, Saskatoon and Regina, Saskatchewan; Dallas; Richmond, Virginia; Kansas City, Missouri; Minneapolis/St. Paul; Hartford, Connecticut; Boston, and Atlanta.
1998 Acquisitions
We acquired another nine companies in 1998 that enhanced our presence in seven existing market areas and gave us competitive positions in Atlanta and Memphis.
